Terms of Service

1. Acceptance of Terms

By accessing or using the Scaladly platform (the "Service"), you agree to be bound by these Terms of Service. If you disagree with any part of the terms, you may not access the Service.

2. The Service

Scaladly is a modular software as a service (SaaS) for performance marketing and affiliate marketers. Depending on your subscription plan, the Service may include access to modules such as Automation, Integrations, Tracking, and Intelligence.

3. Accounts and Security

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account. You may not use as a username the name of another person or entity that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you, without appropriate authorization.

4. Acceptable Use

You agree not to use the Service:

  • For any unlawful purpose or in any way that violates any applicable national or international law or regulation.
  • To abuse, harass, harm, or advocate violence against any person or group.
  • To engage in any activity that circumvents or attempts to break the isolation, security, or intended limitations of the Service, its modules, or tenant accounts.
  • To abuse third-party platforms or APIs (including Google Ads, ClickBank, BuyGoods, Digistore24) through excessive requests, circumvention of their limits, or violation of their terms of service.

5. Plans and Subscriptions

Access to specific modules (e.g., Intelligence, Automation, Integrations) and resource limits (e.g., campaigns, keywords) depends on your active subscription plan. Features available in a higher-tier plan may be restricted or disabled if you downgrade or if your plan does not include them. We reserve the right to modify, suspend, or discontinue parts of the Service with notice.

6. Third-Party Services and Google APIs

The Service integrates with third-party platforms. Your use of such integrations is governed by the respective third-party's terms of service and privacy policies.

If you connect your Google Ads account to Scaladly, you agree to comply with Google's terms. Our use of data received from Google APIs is subject to our Privacy Policy and the Google API Services User Data Policy, including its Limited Use requirements.

7. User Content and Data Ownership

You retain all rights to any data, information, or content you submit or process through the Service ("User Content"). By using the Service, you grant Scaladly a license to host, process, and use your User Content solely as necessary to provide, secure, and improve the Service.

8. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Gustavo Rodrigues Carvalho. The Service is protected by copyright, trademark, and other laws of Brazil and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without prior written consent.

9. Disclaimers

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We disclaim all warranties, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will function uninterrupted, secure, or available at any particular time or location, or that any errors or defects will be corrected.

10. Limitation of Liability

In no event shall Gustavo Rodrigues Carvalho be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

11. Suspension and Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. Upon termination, your right to use the Service will immediately cease.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

13. Governing Law and Forum

These Terms shall be governed and construed in accordance with the laws of Brazil, without regard to its conflict of law provisions.

Any dispute arising from these Terms or the use of the Service shall be submitted to the exclusive jurisdiction of the courts of Araucária, Paraná, Brazil (foro da comarca de Araucária, PR).
